Property Partner (Hotelier) Agreement
Version 1.0. This Agreement is accepted electronically and takes effect when the Property Partner ticks the acceptance box and lists a property on the Platform.
1. Parties and definitions
This Property Partner Agreement (the “Agreement”) is between Hotels Uttarakhand (the “Platform”, “we”, “us”) and the person or business that registers a hotel, resort, homestay, lodge, camp or other accommodation on the Platform (the “Property Partner”, “you”). “Guest” means a person who sends a booking request for your property through the Platform. “Booking” means a stay requested through the Platform and accepted by you. “Commission” means the fee described in clause 7.
2. Consent to list and authority
2.1 You voluntarily request that your property be listed on the Platform and you consent to the display of its name, description, photographs, rates, availability, policies and location to visitors of the Platform and in search and marketing channels operated by us.
2.2 You confirm that you are the owner of the property, or are authorised by the owner to list it and to accept bookings for it, and that the information, photographs, room types, rates and amenities you provide are true, current and not misleading. You will keep them up to date, including availability and the open / closed status of the property.
2.3 You hold, and will maintain, every licence, registration and permission required to operate the accommodation under applicable law (including trade, tourism, fire-safety, food-safety and tax registrations, and police or guest-registration formalities, including for foreign nationals), and you will provide the documents we reasonably request for verification. Verification by us is an administrative check only and is not a certification of your property.
3. Our role: a booking platform and a support desk
3.1 The Platform is a technology marketplace that connects Guests with accommodation providers. We are not the owner, operator, manager or agent of your property, and we have no authority to bind you or to provide accommodation. The contract for the stay is solely between you and the Guest.
3.2 Within that limit, we act as a facilitator and support desk for both sides. Our team will help you and the Guest understand each other, relay information, assist in resolving misunderstandings and, where appropriate, suggest a fair solution, in the manner of a manager who supports but does not own the business. Our suggestions are not binding unless you and the Guest accept them.
4. Booking requests: only you accept or decline
4.1 Every booking request is sent to you. Only you may accept, decline or change a request. Neither the Platform’s administrators nor its staff will accept, confirm or reject a booking on your behalf, and no booking is created by us without a request from a Guest.
4.2 You agree to respond to each request promptly and within the response time stated on the request. Accept only when you can honour the booking, and decline with a reason when you cannot. You may propose changed dates, which the Guest may accept or cancel.
4.3 You are responsible for avoiding double bookings and for keeping your calendar accurate.
5. Payments: direct between the Guest and you
5.1 The Platform does not collect, hold or handle any payment on your behalf and does not receive guest money for your stay. Payments for the stay are made by the Guest directly to you.
5.2 You will provide the payment details that the Platform shows to the Guest for your property: your UPI ID, UPI QR code and/or bank account. You must give only accounts that belong to you or your business, and you are responsible for their accuracy.
5.3 Only after you have accepted a booking request may you ask the Guest for an advance, in the amount you decide, to secure the booking and the accommodation. You will confirm on the Platform when you have received the payment. Contact details of both sides are released only after you confirm receipt, and the Booking is then treated as confirmed.
5.4 You are responsible for issuing receipts or invoices to the Guest and for all taxes (including GST where applicable) on the amounts you receive. The balance of the stay is collected by you directly from the Guest.
6. Changes in the number of guests
6.1 If the Guest arrives with more or different guests than stated in the booking (for example a third guest where two were booked), you may update the booking details on the Platform (“Edit guests”). The Platform recalculates the rooms, extra mattresses and total from the rates and occupancy rules you have published.
6.2 You may then request the additional amount from the Guest, which the Guest pays directly to you in the same way as the advance. You will not charge for extra guests beyond your published rates or an amount agreed with the Guest and recorded on the Platform.
6.3 You may decline to accommodate guests beyond the permitted occupancy of a room or beyond your availability, and you will tell the Guest clearly and in good time. Recording changes on the Platform is required so that both you and the Guest have a clear written record, and so that Commission is calculated on the correct final amount.
7. Commission
7.1 For each Query Contact Request or Booking that you Get from platform or you accept through the Platform you agree to pay us a Commission at the percentage shown to you in your account or agreed with you in writing, calculated on the Booking total (including any revision under clause 6). Commission is exclusive of applicable taxes.
7.2 Commission becomes due once the Booking is confirmed on the Platform, and you will pay it to our account shown in your dashboard within the period stated there or otherwise agreed. We will record each payment received so that your commission balance is visible to you.
7.3 No Commission is due on requests you decline, on requests that lapse, or on Bookings cancelled without any amount being retained by you. If you retain any amount on a cancelled Booking, Commission applies to the amount retained.
7.4 You will not move a Guest introduced through the Platform, or the dates or amount of such a booking, to another channel in order to avoid Commission. This includes extensions of the same stay.
8. Cancellations and refunds
8.1 Cancellations by Guests are governed by the cancellation policy published on your property page, and any refund is paid by you directly to the Guest. We will assist both sides but do not hold funds to refund.
8.2 If you cancel a confirmed Booking, or cannot provide the accommodation booked, you will refund the Guest in full without delay and make reasonable efforts to arrange comparable alternative accommodation. Repeated cancellations may lead to suspension.
9. Your service obligations
You will provide the accommodation as described, safe, clean and in accordance with law; treat all Guests fairly and without discrimination; verify guest identity as required by law; and tell us promptly of any incident, complaint or dispute connected with a Booking. Weather, landslides, road closures and other conditions common in the Himalayan region may affect travel; you will deal with affected Guests reasonably and in good faith.
10. Disputes and support
If a dispute arises with a Guest, either party may contact us. We will review the booking record and messages on the Platform and try to help the parties reach a fair resolution. We are not a court or arbitrator, we do not guarantee any outcome, and we are not liable to pay compensation on behalf of either party. Nothing here limits the rights of either party before a competent authority.
11. Reviews, content and licence
You grant us a non-exclusive licence to display your listing content and Guest reviews on the Platform and for marketing the property. You confirm that you have the right to use the photographs and text you upload. We may moderate or remove content that is inaccurate, unlawful or misleading.
12. Guest data and privacy
Guest contact details released to you are provided only to carry out the Booking. You will use them for no other purpose, will not share or sell them, and will handle them in line with applicable law and our Privacy Policy.
13. Suspension and termination
You may close your listing at any time, subject to honouring confirmed Bookings. We may suspend or remove a listing for breach of this Agreement, inaccurate information, repeated Guest complaints, or unlawful activity. Clauses that by nature continue (including Commission on existing Bookings, data use, liability and governing law) survive termination.
14. Liability and indemnity
We provide the Platform on an “as is” basis and are not responsible for the accommodation, its safety, or the conduct of any Guest or Property Partner. To the extent permitted by law, our total liability to you for any claim relating to the Platform is limited to the Commission received by us for the Booking in question. You will indemnify us against claims, losses and costs arising from your property, services, statements, breach of this Agreement or breach of law.
15. Electronic acceptance and records
By ticking the acceptance box you agree to this Agreement electronically under the Information Technology Act, 2000. We keep a record of the acceptance, including date, time and version.
16. Changes
We may update this Agreement. Material changes will be notified through the Platform or by e-mail, and continued use of the Platform after notice means that you accept the update. Changes do not affect Bookings already confirmed.
17. Governing law
This Agreement is governed by the laws of India.
